BRUJA MAGAZINE CONTRIBUTOR AGREEMENT
Under TallulahMade LLC

By submitting work to Bruja Magazine (parent company TallulahMade LLC), working with Bruja Magazine, or collaborating with Bruja Magazine in any capacity, you acknowledge that you have read, understood, and agree to be bound by the terms of this Contributor Agreement.

This Agreement is made between Bruja Magazine, a publication under TallulahMade LLC, and the content creator, artist, writer, photographer (“Contributor”) whose work is being submitted for publication in print, online, video, and social formats.

1. GRANT OF RIGHTS

1.1. Contributor grants Bruja Magazine the worldwide, royalty-free right to use, reproduce, edit, distribute, publish, display, and promote the submitted content (“Contribution”) across all media formats, including but not limited to print, web, social media, newsletters, and video. This grant is subject to the exclusive period described in Section 1.2 and becomes non-exclusive afterward.

1.2. The grant is exclusive from the Contributor’s acceptance of this Agreement until six (6) months after first publication by Bruja Magazine. During this period, Contributor may not publish or license the Contribution for publication elsewhere without Bruja Magazine’s written permission, except as permitted in Section 1.4.

After the exclusive period, Bruja Magazine retains non-exclusive rights, and Contributor may publish the work elsewhere, provided Contributor includes a statement such as:

“Originally published in Bruja Magazine” or “Originally published in @brujamagazine.”

1.3. Contributors publishing the work in their own books or portfolios are exempt from this acknowledgment requirement. This exception applies to acknowledgment and does not waive the exclusive publication period.

1.4. After publication, Contributors may save and share pages featuring their own Contribution for personal promotion, with credits intact and acknowledgment of Bruja Magazine. This permission is an exception to Section 1.2. It does not authorize distribution of the entire issue or separate republication of other contributors’ work.

1.5. Contributor must disclose prior publication and any existing commitments affecting the Contribution’s publication rights. Exceptions to the exclusive period must be agreed in writing.

1.6. If Bruja Magazine rejects the Contribution or cancels its publication before first publication, the publication rights and exclusivity granted for that Contribution end upon written notice. Bruja Magazine may retain a private administrative copy.

2. OWNERSHIP & INTELLECTUAL PROPERTY

2.1. Contributor retains full copyright and intellectual property ownership of their original work, subject to the rights granted under this Agreement.

2.2. Bruja Magazine retains rights to its original compilation, design, arrangement, and production elements, including mini-documentaries and videos produced under the Bruja Magazine brand. The final cut of such media is the property of Bruja Magazine, while the underlying intellectual property contributed by the artist, including poems, photography, artwork, and audio, remains with Contributor. Substantive changes remain subject to Section 4.1.

2.3. Contributor grants Bruja Magazine the right to use their agreed publication name, supplied image or likeness, bio, and submitted media for promotional purposes associated with the magazine and its media productions. Any agreed anonymity or pseudonym requirements will be respected.

2.4. Contributor’s work will be credited using the agreed name or byline. Contributor is responsible for providing accurate collaborator credits, a short bio, and any website or social links. Inclusion of bios and links is subject to editorial and layout requirements.

3. PAYMENT & COPIES

3.1. No payment will be made for Contributions unless otherwise agreed in writing. Participation is considered an editorial collaboration with shared promotional value.

3.2. Contributors will receive free digital access to the full issue in which their work appears. An access link and any required password will be provided upon publication. This benefit does not include a complimentary print copy. Access credentials may not be publicly shared.

3.3. Contributors will receive a proof or digital tear sheets before publication to review their feature and identify corrections to text, names, credits, captions, additions, or omissions. Review deadlines will be communicated for the applicable issue.

3.4. Print copies, when available, will be offered by preorder. Purchasing a print copy is optional and is not a condition of publication. Pricing will be announced once the final page count is calculated. Shipping charges and preorder details will be provided before purchase.

4. EDITORIAL RIGHTS

4.1. Bruja Magazine reserves the right to edit Contributions for grammar, clarity, layout, and formatting. Substantive edits will not be made without consulting Contributor and obtaining written approval.

4.2. Bruja Magazine reserves the right to reject or request revisions of any submission. Contributor will be given ten (10) business days to revise unless a different deadline or extension is agreed in writing.

4.3. A query, invitation to submit, or receipt of submitted files does not guarantee publication. Final acceptance depends on editorial review of the completed Contribution.

4.4. Individual submission deadline extensions may be approved in writing, including by email. An individual extension does not change the general deadline for the issue.

5. WARRANTIES & PERMISSIONS

5.1. Contributor warrants that:

• They are the creator and rights holder of the Contribution or have authorization from all necessary rights holders to grant the rights described in this Agreement.

• The Contribution is original, not libelous or defamatory, and does not infringe third-party rights.

• Any co-creators, prior publication, or existing publication commitments have been disclosed.

• Factual claims, quotations, references, and citations have been verified.

5.2. If the Contribution includes third-party content, Contributor is responsible for securing proper permissions and providing proof of such rights to Bruja Magazine upon request.

5.3. Contributor agrees to indemnify and hold harmless Bruja Magazine and TallulahMade LLC from legal claims resulting from breach of these warranties.

5.4. Bruja Magazine accepts original, human-created work that uses AI for editing, proofreading, or refinement. Contributor’s own ideas, writing, photography, artwork, and creative decisions must remain the foundation of the Contribution.

5.5. Fully AI-generated submissions are not accepted. Editing a fully AI-generated work afterward does not make it eligible. Any AI-generated passages, images, or other substantive elements must be disclosed before acceptance so Bruja Magazine can determine eligibility.

5.6. Contributor must disclose whether AI was used and, if applicable, identify the tools and explain how they assisted the work. Any reader-facing disclosure will be agreed before publication.

5.7. AI must be used as assistance rather than as an authoritative research source. Contributor remains responsible for verifying information against reliable original sources and ensuring the accuracy, originality, and permissions of the final Contribution.

6. GOVERNING LAW

This Agreement is governed by the laws of the State of Mississippi and applicable federal law, including the U.S. Copyright Act. Any dispute will be addressed through mediation in Mississippi or arbitration in Mississippi if both parties agree in writing to the arbitration terms.

7. SUCCESSORS & ASSIGNS

This Agreement is binding upon the heirs, executors, administrators, successors, and assigns of both parties. Bruja Magazine may assign this Agreement to a successor publication or company that assumes its obligations under this Agreement.

8. ELECTRONIC SIGNATURES & COPIES

Submission of content via email or online form constitutes acceptance of this Agreement. Digital or scanned copies shall be considered originals.

9. ENTIRE AGREEMENT

This document represents the entire agreement between Bruja Magazine (TallulahMade LLC) and Contributor. No changes are valid unless made in writing and signed by both parties, except individual submission deadline extensions expressly permitted under Section 4.4.

Amendments and Addenda

This Contributor Agreement may be modified only through a written addendum that clearly states the section(s) being changed. Any addendum must be dated and acknowledged by both Bruja Magazine (TallulahMade LLC) and Contributor.

All executed addenda become part of this Agreement and should be attached to or stored with the original Agreement. Each addendum will state the effective date and the specific change(s).

Historical Examples:

6/28/2025 – Section 3.2 amended to read: “Contributors will receive one (1) complimentary print copy of the issue in which their work appears, where applicable.”

7/14/2025 – Introductory clause amended to include “working with or collaborating with Bruja Magazine.” (See signed Addendum dated 7/14/2025.)

The entries above are retained as historical examples. They do not establish the current contributor benefit, which is free digital access under Section 3.2. Any previously executed addendum remains subject to its terms unless amended by the parties.

9/30/2026 – Section 1.1 revised to resolve the conflicting exclusive and non-exclusive wording by making the grant subject to the exclusive period in Section 1.2.
